TokenSilk Terms of Service

Welcome to TokenSilk, a hosted software-as-a-service platform provided by Tethyst LLC ("Tethyst," "we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of TokenSilk and any related websites, services, or applications (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms.

If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity. In that case, "you" or "your" refers to that entity.

1. Eligibility and Accounts

You must be at least 18 years old to use the Service. Creating an account on TokenSilk is free. Some features of the Service require payment as described in Section 3.

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You agree to provide accurate information and keep it up to date.

Tethyst may suspend or terminate your account if we reasonably believe you have violated these Terms.

2. Access to the Service

Subject to your compliance with these Terms and timely payment of applicable fees, Tethyst grants you a limited, non-exclusive, non-transferable, revocable right to access and use the Service for your internal business or personal purposes.

You may not:

• Reverse engineer, decompile, or attempt to derive the source code of the Service.
• Access the Service to build a competing product or service.
• Use automated tools (such as bots or scrapers) to extract data from the Service beyond what is expressly permitted.

3. Payment and Billing

Certain features of TokenSilk require payment. You will be notified when a feature or usage incurs a fee.

All fees are billed in advance via credit card and are non-refundable unless otherwise required by law. You authorize Tethyst (or its payment processor) to automatically charge your payment method for recurring or usage-based fees until you cancel your plan or deactivate your account.

We may change our pricing or billing terms with reasonable advance notice.

4. User Data and Content

You retain ownership of all prompts, evaluation definitions, configurations, and other content that you upload to or input into the Service ("User Content"). Tethyst will treat all User Content as confidential and will not access, use, or disclose it except as necessary to provide the Service to you (for example, to execute evaluations or display results at your request).

Tethyst retains ownership of all aggregated and system-generated metrics, telemetry, and usage data derived from operation of the Service ("Operational Data"). Tethyst may use Operational Data—including metrics derived from User Content—only in aggregate or anonymized form to operate, maintain, and improve the Service.

You are responsible for ensuring that your User Content complies with applicable laws and does not infringe third-party rights.

5. Acceptable Use

You may not use the Service to process, transmit, or store content that:

• Violates any applicable law or regulation;
• Infringes or misappropriates the intellectual-property or privacy rights of others;
• Contains or promotes hate speech, harassment, or violence;
• Is sexually explicit, exploitative, or otherwise inappropriate for general use; or
• Could reasonably be expected to cause suspension or restriction by any third-party service or model provider integrated with the Service.

Tethyst reserves the right to review, suspend, or terminate accounts involved in activity that violates these restrictions or poses a risk to the operation, reputation, or compliance of the Service.

6. Sharing and Insights

You may share analyses, metrics, or insights generated through TokenSilk publicly, provided you do not misrepresent your relationship with Tethyst or use the Service in a way that could harm other users or the platform.

7. Privacy

Our use of personal information is governed by our Privacy Policy, which is incorporated by reference into these Terms.

8. Service Availability and Modifications

We may modify, suspend, or discontinue parts of the Service at any time, including features or pricing, with reasonable notice where practical. We do not guarantee uninterrupted availability or error-free operation of the Service.

9. Termination

You may cancel your paid plan or close your account at any time via your account settings. Tethyst may suspend or terminate your account immediately if you breach these Terms, fail to pay fees when due, or engage in fraudulent or abusive behavior. Upon termination, your access to the Service will end, but certain provisions of these Terms (including Sections 4, 9–13) will survive.

10. Intellectual Property

All rights, title, and interest in the Service and its underlying technology, software, and content (excluding your User Content) are owned by Tethyst or its licensors. These Terms do not grant you any ownership rights in the Service.

11. Disclaimers

The Service is provided "as is" and "as available." Tethyst disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will meet your requirements or be error-free.

12. Limitation of Liability

To the maximum extent permitted by law, Tethyst and its affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, or goodwill. Our total liability for any claim relating to the Service will not exceed the amount you paid to Tethyst for the Service during the six (6) months preceding the claim.

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws principles. Any dispute arising under or relating to these Terms or the Service will be resolved exclusively in the state or federal courts located in San Francisco County, California, and you consent to the jurisdiction of those courts.

14. General

These Terms constitute the entire agreement between you and Tethyst regarding your use of the Service. If any provision is found unenforceable, the remaining terms will remain in effect. You may not assign these Terms without Tethyst's prior written consent. Tethyst may assign these Terms in connection with a merger, acquisition, or sale of assets.
